1 Introduction

1.1 Welcome to the Meta Store platform (hereinafter referred to as the "Platform"). Please read these Terms of Service carefully before using the Meta Store platform or opening a Meta Store account (hereinafter referred to as an "Account") or opening a Meta Store store (hereinafter referred to as a "Store") to understand your legal rights and obligations to Meta Store (individually and collectively referred to as "Meta Store", "we" or "our"). The services we provide (hereinafter referred to as the "Service") include (1) the Platform (including mobile applications), (2) the services provided by the Platform and Meta Store client software, and (3) all information, linked web pages, functions, data, text, images, photos, graphics, music, sound, video, information, tags, content, programming, software, application services (including but not limited to any mobile application services) (hereinafter referred to as "Content") provided through the Platform or its related services. Any new or upgraded features of the Service shall also be subject to these Terms of Service. These Terms of Service govern your use of the services provided by Meta Store.

1.2 Meta Store Policy: Various terms or conditions applicable to sellers that are published and updated from time to time on the Meta Store platform, including but not limited to the cross-border seller service terms, privacy policy, prohibited and restricted goods policy, Meta Store logistics service terms, policies and terms stated on the seller center, and various new policies and terms released in the future. Unless otherwise agreed in these Terms of Service, the definitions and interpretations of terms in the Meta Store policy apply to these Terms of Service.

1.3 Meta Store platform refers to the website and mobile shopping application provided and operated by Meta Store, including but not limited to the global Meta Store shopping website and mobile shopping client;

1.4 If you use this service or open an account and store on this platform, you irrevocably accept and agree to these Terms of Service, including the additional terms and policies mentioned in these Terms of Service/or provided by the link to these Terms of Service. At the same time, you should still abide by the terms of service rules of the site platform where the store you opened in various countries/regions is located. Accepting and agreeing to these Terms of Service cannot exempt you from the obligation to read and abide by the terms of service of the site platform where the store is opened. If there is a conflict between these Terms of Service and the Terms of Service of the site platform where you opened your store, the Terms of Service of the site platform where you opened your store shall prevail.

If you have signed other written agreements with us for specific services, the terms of other written agreements shall prevail when there is a conflict between the terms of other written agreements and these Terms of Service.

1.5 The Service includes providing an online platform service to provide a place and opportunity for sellers (hereinafter referred to as "you", "users", "sellers") to trade goods. The actual sales contract exists between the buyer (hereinafter referred to as "buyer") and the seller. Meta Store is not the subject of the sales contract or other contracts between the buyer and the seller, and Meta Store does not bear any obligations for such contracts. Buyers and sellers will bear all responsibilities for sales contracts, product listings, shopping guarantees and similar matters during the use of Meta Store services. Meta Store does not participate in transactions between users. Meta Store has the right to pre-screen users or content or information provided by users. Meta Store reserves the right to remove any content or information provided by you through this platform in accordance with Article 6.5. Meta Store cannot ensure that users will actually complete transactions.

1.6 Before becoming a user of this service, you must read and accept all the terms contained in and linked to this service terms, and you must agree to the provisions of the privacy policy regarding the processing of personal information of sellers and buyers (if any).

1.7 From the time you become a user of this service, if you violate this service terms and any other rules and policies that you should comply with (including but not limited to the additional terms mentioned in this service terms and/or provided by the link of this service terms and Meta Store policies), Meta Store has the right to deal with you and your account and store opened on this platform in accordance with this service terms and related rules and policies (including but not limited to the series of disciplinary actions described in Article 7.1 of this service terms), and you promise and agree to accept Meta Store's processing and bear the corresponding responsibilities.

2 Privacy

2.1 Meta Store attaches great importance to privacy protection. We have detailed our privacy protection operations in the privacy policy. Please read this privacy policy carefully to understand how Meta Store collects and uses personal information in your account and/or when you use the service. If you use the Service or provide information on the Platform, you agree to allow Meta Store to collect, use, disclose and/or process the content and personal information (if any) involved in your use of the Service in accordance with the methods described in the Privacy Policy.

2.2 Users who use the Service and hold third-party personal information (hereinafter referred to as "Recipients") agree to (1) comply with all laws and regulations related to personal information protection; (2) allow users whose personal information is collected by the Recipient (hereinafter referred to as "Disclosers") to remove his/her information from the Recipient's database; and (3) allow Disclosers to review what information is collected by the Recipient. In the cases of (2) and (3) above, comply with or act in accordance with applicable laws and regulations.

3 Limited Authorization

3.1 Meta Store grants you a limited and revocable right to log in and use the Service in accordance with the terms and conditions of these Terms of Service. All proprietary content, trademarks, service marks, brand names, logos and other intellectual property rights (hereinafter referred to as "Intellectual Property Rights") displayed on the Platform are the property of Meta Store and the third-party owners indicated on the Platform (if applicable). We do not grant any party accessing the Platform any right or authorization, directly or indirectly, to use or re-use any property, and no party accessing the Platform may claim any right, title or interest in or to it. By using the Service, you agree to comply with copyright, trademark, service mark and all other applicable laws protecting the Service, the Platform and its content. You agree not to copy, distribute, republish, transmit, publicly display, publicly perform, modify, adapt, rent or sell any part of the Service, the Platform or its content, or create derivative works based thereon. You may not mirror or frame any part or all of the content of the Platform on any other server or display it as part of any other website/platform without our prior written consent. In addition, you agree not to use any robot, spider or any other automatic device or manual process to monitor or copy our content (except in the case of searching websites using standard search engine technology to direct web users to the Platform) without our prior written approval.

3.2 We welcome you to link to the Platform from your website, provided that your website/platform does not imply any endorsement or association with Meta Store. You understand that Meta Store may stop providing part or all of the Services at any time in response to legal requirements or in accordance with the principle of good faith.

4 Software

Any software we provide to you as part of the Services shall be subject to the specifications of these Terms of Service. Meta Store reserves all rights not expressly granted by Meta Store herein. Any third-party scripts or program codes linked or referenced by this Service are authorized for use by the third party that owns the script or program code (not Meta Store).

5 Account and Security

5.1 Some features of the Services require registration of an account and a store to be used. When registering an account and a store, you need to select a unique user identifier (hereinafter referred to as "User ID") and password, and provide some personal information. If the User ID you select is unilaterally determined by Meta Store to be illegal, non-compliant or inappropriate, Meta Store has the right to suspend or terminate your account or freeze or close your store. You may use your User ID and password to log in to other products, websites or services to which we have enabled access or with which we have an alliance or partnership. Meta Store has not reviewed any third-party content, features, security, services, privacy policies or other specifications of these products, websites or services. If you do so, the terms of service for those products, websites or services, including their respective privacy policies (if different from our terms of service and/or privacy policies), will also apply to your use of those products, websites or services.

5.2 You agree to (1) keep your password confidential and only use your user ID and password when logging in, (2) ensure that you log out of your account at the end of each session of use of the website, (3) immediately notify Meta Store of any unauthorized use of your account, user ID and/or password, and (4) ensure that your account information is correct and updated in a timely manner. You are obliged to properly maintain access to your account, and all operations and business activities under your account (including but not limited to sub-accounts opened under your main account) are considered your actions. You must be fully responsible for all activities that occur under your user ID, store and account, even if you may not be the performer of such activities or use. Meta Store is not responsible for any loss or damage caused by unauthorized use of your password or your failure to comply with the provisions of this section.

5.3 The email address, contact information, etc. you use for registration must belong to you and/or your authorized representative. Meta Store has the right to verify the information you submit. You agree that Meta Store can disclose, transfer or grant access to the above information to third-party service providers and verify the information, otherwise Meta Store has the right to refuse to provide this service.

5.4 The ownership of your Meta Store account belongs to Meta Store, and Meta Store has the right to manage your account in accordance with the requirements of laws and regulations or in accordance with the principle of good faith. You agree that Meta Store may notify you separately to immediately terminate your account and your user ID, remove any content related to your account and user ID from this platform, revoke any subsidies provided to you, and cancel any transactions related to your account and user ID in accordance with the requirements of laws and regulations or in accordance with the principle of good faith. Meta Store will also explain to you the reasons for such termination, including but not limited to: (1) failure to log in and operate your account or the store you opened for a long period of time (more than 30 days); and/or you have stopped operating on the platform for more than one year, including not placing an order for one year (regardless of whether the account is used); (2) violation of the provisions of this Agreement; (3) sufficient evidence to confirm that the user has committed fraud, harassment, defamation, threat, insult or other illegal or violating the rules of each site; (4) may have multiple user accounts and repeatedly open stores for improper or illegal purposes; (5) payment is seized by judicial or administrative authorities; (6) users submit false or forged identity authentication information, which is verified to be true; or (7) acts that are harmful to other users, third parties or Meta Store's commercial interests (such as infringement of third-party intellectual property rights, fictitious transactions, abuse of free shipping or discounts, etc.). If you use your account for fraud, harassment, defamation, threat, insult or other illegal purposes, we may report it to the competent law enforcement agency without notifying you.

5.5 If your account on Meta Store is closed due to serious violations, you are not allowed to re-register an account; if you are found to have re-registered an account, Meta Store has the right to immediately stop the service and close the seller's account.

5.6 You have the right to terminate the Terms of Service between Meta Store and you at any time in the manner agreed upon by both parties. If a user wants to terminate his account and store, he can notify Meta Store in writing (please send an email to: service@Meta Store.com or contact your account manager). Even if the account and store have been terminated, you are still responsible for any unfinished transactions (whether transactions initiated before or after termination), product delivery, payment of product funds and other transaction-related matters, and you must notify Meta Store after promptly and effectively performing and completing all unfinished transactions in accordance with these Terms of Service. Meta Store is not responsible for any damages caused by actions taken under these terms.

5.7 You may only use this service and/or open an account/or open a store in the permitted countries updated by us from time to time.

6 Your Commitment and Guarantee

6.1 You guarantee that you have full rights and/or authority to sell the products listed on the Shopee Meta Store platform, and such products, whether manufactured, assembled, produced or otherwise provided by you, are:

(1) of legitimate and legal origin, and are all brand new and genuine products unless otherwise stated in the product details;

(2) strictly comply with all product warranties, specifications, drawings, samples, performance standards or other descriptions of the products provided by you to the Meta Store platform;

(3) have the performance that the products should have, and any defects in the performance of the products have been explained;

(4) comply with current laws and regulations, do not violate any current laws and regulations in China and the region where the store is located, meet the requirements for protecting personal and property safety and environmental protection requirements, meet the quality standards stipulated by relevant departments, and do not infringe on the rights of any third party (including intellectual property rights); and

(5) there are no third-party claims of infringement of any product, or any claims, requests or legal actions regarding the manufacture, sale, distribution or use of the product. Meta Store will not receive any third-party allegations of infringement due to your sale of products on the Meta Store platform.

6.2 Commitment and Guarantee:

(1) You agree and guarantee that Meta Store will not directly or indirectly infringe the rights (including intellectual property rights) of any third party by advertising, marketing or promoting your products through any means (whether on the Meta Store platform or other media) or using the information you provide to advertise, market or promote your products;

(2) You promise and guarantee that the information you provide can be used by Meta Store in advertising, marketing or promoting your products (whether on the Meta Store platform or other media), and does not contain any defamatory or other content that violates the current laws and regulations in the area where the store is located, and is complete, accurate and reliable. You promise that if there are any errors or updates in the materials you provide, you should immediately notify Meta Store and correct the errors or updates.
